Business | JetBlue and Spirit are ending their $3.8 billion merger plan after a federal judge blocked the deal

JetBlue Airways and Spirit Airlines are ending their proposed $3.8 billion merger weeks after a federal judge blocked the deal, saying it would hurt consumers who depend on Spirit’s lower fares.

JetBlue said Monday that even though both companies still believe in the deal, they were unlikely to meet the closing conditions required in the agreement before a July 24 deadline.

JetBlue’s new CEO, Joanna Geraghty, called the merger “a bold and courageous plan intended to shake up the industry status quo” and speed JetBlue’s growth.

“However, with the ruling from the federal court and the Department of Justice’s continued opposition, the probability of getting the green light to move forward with the merger anytime soon is extremely low,” Geraghty said in a memo to employees of New York airline. She said uncertainty over the merger’s fate was distracting the airline from its effort to return to profitability.

Spirit CEO Ted Christie said he was disappointed that the airlines could not combine and create a new challenger to the nation’s four biggest airlines but said he is confident that Spirit — which has been losing money since the pandemic started — can succeed on its own.

The Justice Department sued to block the merger last year, saying it would reduce competition and drive up fares, especially for travelers who depend on low-fare Spirit.

In January, a federal district judge in Boston sided with the government and blocked the deal, saying it violated antitrust law.

On Monday, the Justice Department took a victory lap.

“Today’s decision by JetBlue is yet another victory for the Justice Department’s work on behalf of American consumers,” Attorney General Merrick Garland said in a statement. “The Justice Department proved in court that a merger between JetBlue and Spirit would have caused tens of millions of travelers to face higher fares and fewer choices. We will continue to vigorously enforce the nation’s antitrust laws.”

The airlines had appealed the ruling, and a hearing had been set for June in the 1st U.S. Circuit Court of Appeals in Boston.

The Biden administration’s Justice Department, which has fought against consolidation in several industries, previously killed a partnership between JetBlue and American Airlines on flights in New York and Boston.

The collapse of the sale to JetBlue could leave Spirit in a precarious position, facing looming debt payments while a portion of its planes are grounded by engine problems.

Unlike bigger airlines that attract more upscale passengers — and now offer their own bare-bones fares to compete with budget carriers — Spirit has not recovered from the pandemic. It lost $447 million last year and $1.9 billion since the start of 2020.

A JPMorgan Chase analyst said in January that he couldn’t see a viable path for Spirit on its own to return to profitability any time soon.

JetBlue has also been losing money — $2.2 billion since 2020. But JetBlue’s revenue is about 80% higher than Spirit’s, giving it more of a cushion against a losing streak. Activist investor Carl Icahn bought nearly 10% of JetBlue stock last month and won two seats on the airline’s board.

Spirit announced a $2.2 billion merger with Frontier Airlines in early 2022. That deal would have combined two similar carriers that charge lower fares than the big airlines but add on fees that generate a large chunk of their revenue.

JetBlue, which more closely resembles the giant airlines in its business model, jumped into the fray against the wishes of Spirit’s management, which warned that it would be difficult to win regulatory approval for a deal that eliminated the nation’s biggest low-fare carrier. JetBlue went over the heads of Spirit’s board, directly to Spirit’s shareholders, and won a bidding war against Frontier a few months later.

By the time the JetBlue purchase wound up in court, there were continuing losses and other problems at Spirit, which is based in Miramar, Florida. Some analysts questioned whether the deal still made financial sense for JetBlue.

In late January, after the court ruling in favor of the Justice Department, JetBlue warned Spirit that it might terminate the agreement. JetBlue will pay Spirit a $69 million breakup fee.

Some consumer advocates hailed the death of the deal. They had opposed JetBlue’s plan to eliminate Spirit’s low-cost model.

“Even if consumers don’t fly on low-cost carriers like Spirit, they help to keep fares lower by putting pressure on the legacy carriers,” said Katy Nastro of the travel site Going. “Cheap flight lovers across the board can breathe a bit easier.”

The end of the deal raises questions about whether Alaska Airlines can pull off its proposed purchase of Hawaiian Airlines for $1 billion plus the assumption of about $900 million in debt. The Justice Department has not indicated whether it will sue to block that agreement. Neither of those airlines is a discount carrier like Spirit and Frontier.

“Winning a complex, uncertain case like this has to leave (the Justice Department) feeling energized, and it definitely sent a message to the industry,” said John Newman, a University of Miami law professor and former trial lawyer for the Justice Department’s antitrust division. Each case is different, he said, “but they will definitely take a hard look” at the Alaska-Hawaiian deal.

Shares of Spirit Airlines Inc. closed down 11% and have fallen more than 60% since U.S. District Judge William Young’s ruling against the merger on Jan. 16. Shares of JetBlue Airways Corp. rose 4%.

American Airlines to buy 260 new planes from Boeing, Airbus and Embraer to meet growing demand

DALLAS — American Airlines announced a massive order for new planes on Monday, splitting 260 new aircraft between Boeing, Airbus and Embraer in a move designed to meet growing travel demand and increase the airline’s supply of premium seats.

American said it placed options for up to 193 more planes over the next several years.

The airline and aircraft-makers did not disclose financial terms for the orders.

The package of orders includes 85 Boeing 737 Max 10s — a larger version of the Max that has not yet been certified by U.S. regulators. The plane is already years behind schedule, and United Airlines — which has 277 on order — removed the Max 10 from its plans , at least temporarily.

Boeing is under intense scrutiny by the Federal Aviation Administration to fix problems in its manufacturing system, particularly since a panel blew off an Alaska Airlines Max 9 in midflight in January.

American gave the U.S. plane-maker a vote of confidence, however, even converting a previous order for 30 Max 8s to the larger Max 10s.

It also ordered 85 A321neo planes from Airbus, Boeing's European rival . The A321 and Max 10 are about the same size.

The Fort Worth, Texas-based airline also ordered 90 smaller E175 aircraft from Brazil's Embraer .

The planes are all single-aisle, so-called narrow-body aircraft that American will use for flights within the United States and to nearby international destinations. In a presentation for analysts Monday, American called its short-haul network “the foundation of value for customers and investors.”

American CEO Robert Isom said the airline has invested heavily in the last decade — more than 600 planes, including those used by its regional affiliates — to modernize and simplify its fleet, which is already the largest among U.S. carriers.

“These orders will continue to fuel our fleet with newer, more efficient aircraft so we can continue to deliver the best network and record-setting operational reliability for our customers,” Isom said in a statement.

American now has orders for 440 planes, some of which aren’t scheduled to be delivered until next decade.

American is joining rivals Delta Air Lines and United Airlines in chasing premium passengers. American said it will retrofit its current Airbus A319 and A320 jets with power outlets at every seat and more first-class seats.

Those upgrades and new planes will help American increase the number of premium seats in its fleet by more than 20% by 2026. That is key to the airline’s strategy: American said Monday that members of its frequent-flyer program and other customers who buy premium seats will account for 80% of company revenue this year, up from 70% in 2017.

American announced the aircraft order — which had been widely expected — a few hours before an investor day meeting with Wall Street analysts in New York.

American executives did not update their January forecast of first-quarter and 2024 earnings. They said capital spending on aircraft will rise from $1.9 billion last year to $2.3 billion this year and to between $3 billion and $3.5 billion per year to 2030.

Shares of American Airlines Group Inc. fell more than 5% by the end of regular trading.

The Tricky Math Behind Booking Trips on a Credit-Card Company’s Travel Site

C hase, American Express and Capital One tout their travel-booking tools for cardholders as a way to maximize rewards and make dream vacations a reality. But are those sites a good deal?

The answer, travelers find, can take some math.

Travelers say differences in price make it tough to determine the best deal. And some grouse that they’re already paying steep annual fees for certain cards.

Will Biesel, a Dallas attorney, pays $550 for his Chase Sapphire Reserve card and says he has found high prices on Chase’s travel portal, such as a $456 American Airlines round-trip to North Carolina that the airline was offering for nearly $100 less. Another trip, on Southwest, cost 65% more on the portal than from the carrier directly, Biesel says.

Credit-card companies’ booking tools often turn up higher fares and room rates than travelers might find on airlines’ and hotels’ own sites, fliers say. Part of the reason is the desire of airlines and hotels to get more travelers booking directly, rather than via third parties such as Expedia or Chase’s travel portal.

With many trips booked for this year, Biesel had hoped to use his credit-card points to offset the travel costs. But often he felt like he wasn’t getting his rewards’ worth on the portal.

“You hope to get value out of that credit card by spending the points wisely,” says Biesel, 28 years old. “It’s harder to justify the total price if you’re not using all the perks.”

Premium credit cards such as the Chase Sapphire and American Express Platinum are geared to the jet-set crowd, and the portals are critical to their appeal. Many of these cards offer cardholders hundreds of dollars in travel credits that can be used only in their dedicated portals. They also entice people to spend their own money, versus their rewards, by offering significantly more points or miles for booking with them.

About 14% of U.S. cardholders typically went to their credit card’s travel portal to research and book trips, according to a 2022 study from the Futurist Group, a payments-industry consulting firm. Over a third of those travelers said they weren’t pleased with the experience.

“The number-one barrier to growth of these portals is the perception that the price is not necessarily the best deal,” Futurist Group founder and CEO Demitry Estrin says.

A Chase spokeswoman said in an email that the company is “committed to providing cardmembers with competitive pricing whether they’re booking with points or cash.”

Why prices vary

Credit-card companies don’t set prices for hotel rooms or plane tickets. Most don’t even operate the travel-booking features connected to their cards—major online travel agencies do. Hopper manages Capital One’s website, and Expedia powers American Express’s consumer-travel site.

Cardholders often find different prices based on where they check.

In some cases, these travelers might not be comparing apples to apples. With airfares, it’s important to check which fare class is advertised when you search. Some websites advertise basic economy—a type of fare with extra restrictions in exchange for a lower price—as the default option. Others display regular economy ticket prices.

Flight and hotel prices also fluctuate based on demand.

Not all websites update their pricing at the same time, says Cory Garner, an independent consultant who led sales and distribution strategy at American Airlines until 2020. If an airline lowers its fares from Chicago to Dallas, that change might not show up immediately for online booking sites.

Separately, airlines have started implementing new technology to distribute their seats to third parties such as online travel agencies, Garner says. That technology lets carriers offer travelers extra options to prospective buyers, including additional categories for seat selection, more easily.

As they push travel agencies and corporate-travel managers to adopt the technology, some carriers have limited which fares remain available on the old distribution systems. Those fares typically cost more, Garner says.

“Credit card travel portals who are using older distribution technology do not have the same access, despite American’s best efforts to make these fares available to them,” an American Airlines spokeswoman said in an email.

Third-party drawbacks

Hotels generally don’t reward points in their own loyalty programs and may not offer other benefits to people who booked anywhere but through the hotel itself, says Adam Morvitz, founder and CEO of point.me, a points and miles search aggregator and booking service.

And when travel snags occur, rebooking can become tougher. In many cases, airlines require travelers to hash out any problems via the site they booked on.

The Chase spokeswoman noted that the company can rebook cardmembers with multiple airline partners when service disruptions arise.

Credit-card benefits

Using a credit card’s travel site to book a vacation can sometimes provide enough advantages to outweigh potential price differences.

Joshua Gellers of Jacksonville, Fla., starts his travel research with Google Flights to get a read on prices. He then checks his credit card’s travel site, factoring in additional rewards he would earn going that route. Credit-card companies sometimes have offers that can boost the rewards rate even higher for customers.

When booking a Sydney hotel last summer, he found booking directly with the hotel was cheaper than his credit-card company’s site. But the rewards offered by the card site swayed him, since their value was greater than what he would save by cutting out the middleman.

Gellers, a professor at the University of North Florida, notes that his tactics aren’t for everyone: “Think about how much extra effort that is for the average traveler.”

Sometimes, credit cards will advertise special discounts on flights or vacation packages only for their cardholders.

Capital One Travel offers price-matching if lower prices are available at the time of booking and free price-drop protection for flights. The site monitors flight prices up to 10 days after customers book. If that itinerary’s price falls, Capital One issues a travel credit of up to $50, with some limitations.

Kievskaya Station went public in March of 1937, the rails between it and Park Kultury Station being the first to cross the Moscow River.  Kievskaya is full of mosaics depicting aristocratic scenes of Russian life, with great cameo appearances by Lenin, Trotsky, and Stalin.  Each work has a Cyrillic title/explanation etched in the marble beneath it; however, if your Russian is rusty, you can just appreciate seeing familiar revolutionary dates like 1905 ( the Russian Revolution ) and 1917 ( the October Revolution ).

Mayakovskaya Station

Mayakovskaya Station ranks in my top three most notable Metro stations. Mayakovskaya just feels right, done Art Deco but no sense of gaudiness or pretention.  The arches are adorned with rounded chrome piping and create feeling of being in a jukebox, but the roof’s expansive mosaics of the sky are the real showstopper.  Subjects cleverly range from looking up at a high jumper, workers atop a building, spires of Orthodox cathedrals, to nimble aircraft humming by, a fleet of prop planes spelling out CCCP in the bluest of skies.

Novoslobodskaya Station

Novoslobodskaya is the Metro’s unique stained glass station.  Each column has its own distinctive panels of colorful glass, most of them with a floral theme, some of them capturing the odd sailor, musician, artist, gardener, or stenographer in action.  The glass is framed in Art Deco metalwork, and there is the lovely aspect of discovering panels in the less frequented haunches of the hall (on the trackside, between the incoming staircases).  Novosblod is, I’ve been told, the favorite amongst out-of-town visitors.

Komsomolskaya Station

Komsomolskaya Station is one of palatial grandeur.  It seems both magnificent and obligatory, like the presidential palace of a colonial city.  The yellow ceiling has leafy, white concrete garland and a series of golden military mosaics accenting the tile mosaics of glorified Russian life.  Switching lines here, the hallway has an Alice-in-Wonderland feel, impossibly long with decorative tile walls, culminating in a very old station left in a remarkable state of disrepair, offering a really tangible glimpse behind the palace walls.

Dostoevskaya Station

Dostoevskaya is a tribute to the late, great hero of Russian literature .  The station at first glance seems bare and unimpressive, a stark marble platform without a whiff of reassembled chips of tile.  However, two columns have eerie stone inlay collages of scenes from Dostoevsky’s work, including The Idiot , The Brothers Karamazov , and Crime and Punishment.   Then, standing at the center of the platform, the marble creates a kaleidoscope of reflections.  At the entrance, there is a large, inlay portrait of the author.

Chkalovskaya Station

Chkalovskaya does space Art Deco style (yet again).  Chrome borders all.  Passageways with curvy overhangs create the illusion of walking through the belly of a chic, new-age spacecraft.  There are two (kos)mosaics, one at each end, with planetary subjects.  Transferring here brings you above ground, where some rather elaborate metalwork is on display.  By name similarity only, I’d expected Komsolskaya Station to deliver some kosmonaut décor; instead, it was Chkalovskaya that took us up to the space station.

Elektrozavodskaya Station

Elektrozavodskaya is full of marble reliefs of workers, men and women, laboring through the different stages of industry.  The superhuman figures are round with muscles, Hollywood fit, and seemingly undeterred by each Herculean task they respectively perform.  The station is chocked with brass, from hammer and sickle light fixtures to beautiful, angular framework up the innards of the columns.  The station’s art pieces are less clever or extravagant than others, but identifying the different stages of industry is entertaining.

Baumanskaya Statio

Baumanskaya Station is the only stop that wasn’t suggested by the students.  Pulling in, the network of statues was just too enticing: Out of half-circle depressions in the platform’s columns, the USSR’s proud and powerful labor force again flaunts its success.  Pilots, blacksmiths, politicians, and artists have all congregated, posing amongst more Art Deco framing.  At the far end, a massive Soviet flag dons the face of Lenin and banners for ’05, ’17, and ‘45.  Standing in front of the flag, you can play with the echoing roof.

Ploshchad Revolutsii Station

Novokuznetskaya Station

Novokuznetskaya Station finishes off this tour, more or less, where it started: beautiful mosaics.  This station recalls the skyward-facing pieces from Mayakovskaya (Station #2), only with a little larger pictures in a more cramped, very trafficked area.  Due to a line of street lamps in the center of the platform, it has the atmosphere of a bustling market.  The more inventive sky scenes include a man on a ladder, women picking fruit, and a tank-dozer being craned in.  The station’s also has a handsome black-and-white stone mural.

Here is a map and a brief description of our route:

Start at (1)Kievskaya on the “ring line” (look for the squares at the bottom of the platform signs to help you navigate—the ring line is #5, brown line) and go north to Belorusskaya, make a quick switch to the Dark Green/#2 line, and go south one stop to (2)Mayakovskaya.  Backtrack to the ring line—Brown/#5—and continue north, getting off at (3)Novosblodskaya and (4)Komsolskaya.  At Komsolskaya Station, transfer to the Red/#1 line, go south for two stops to Chistye Prudy, and get on the Light Green/#10 line going north.  Take a look at (5)Dostoevskaya Station on the northern segment of Light Green/#10 line then change directions and head south to (6)Chkalovskaya, which offers a transfer to the Dark Blue/#3 line, going west, away from the city center.  Have a look (7)Elektroskaya Station before backtracking into the center of Moscow, stopping off at (8)Baumskaya, getting off the Dark Blue/#3 line at (9)Ploschad Revolyutsii.  Change to the Dark Green/#2 line and go south one stop to see (10)Novokuznetskaya Station.
